WHEREAS, the above student desires to enroll in the workshop and previously enrolled for the Introduction to Ecosystem Restoration In-person Training, through the Ecosystem Restoration Foundation (“ERF”);

 

WHEREAS, ERF and Soil Foodweb School (“SFWS”) have agreed that ERF will not host the Ecosystem Restoration In-person Training, and SFWS will host the Ecosystem Restoration Fundamentals Workshop: Mexico 2024 (the “Workshop”) instead;

 

WHEREAS, student desires to have transferred, and SFWS desires to receive, the payment student previously made to ERF for the Workshop, and in exchange for such payment, SFWS desires to deliver the Workshop to student;

 

WHEREAS, student understands that by transferring the above referenced payment to SFWS, student forfeits any right or interest in attending the ERF’s Ecosystem Restoration In-person Training, which will be canceled, and will instead be enrolled to attend the Workshop hosted by SFWS, subject to the terms herein.

 

NOW THEREFORE, in consideration of the above referenced student’s agreement to permit the funds previously paid to ERF to be transferred to SFWS as payment for SFWS’ providing of the Workshop, the parties hereby agree as follows:

 

COURSE INFORMATION AND FEES

 

Ecosystem Restoration Fundamentals Workshop February 2023

  •     A 6-day in-person workshop designed to This workshop is designed specifically for Soil Food Web School students who are enrolled in the Introduction to Ecosystem Restoration (IER), enabling them to physically put into practice some of the core principles they have learned on the online course, while also giving them the opportunity to create a restoration plan for a small plot of land on site.
  •     You will work directly with Paul Morris and his team and you’ll receive handouts in this workshop.

 

How Much Time You’ll Need to Commit:

The workshop will begin at 12 noon on Sunday February 4,  2024. and will end at 12 noon on Saturday February 10, 2024 (“Workshop Period”). 

 

Note: You are responsible for your own travel, accommodation and insurance for the workshop. The SFWS is not responsible for any activities that you decide to partake in during your spare time outside of the workshop.

 

 

Prerequisites:

Initially the ERFW will be made available only to Soil Food Web students who have completed the Introduction to Ecosystem Restoration. If the workshop is not sold out after the first 2 weeks from the launch date (estimated to be November 21, 2023), any remaining places will be made available to students who have completed the first 3 modules of the IER. After a further 2 weeks, the workshop will become available to students who have completed the first 2 modules of the IER and so on. This is to provide the highest quality experience for those attending the workshop, by ensuring that all attendees are as well prepared as possible for the training they will receive.  

 

To qualify for this workshop, students must meet ALL of the following criteria:

 

  1. Have enrolled in the Introduction to Ecosystem Restoration (IER).
  2. Obtain their own medical and medical evacuation insurance before they attend.
  3. Attend the required Safety Training and sign the “Attending a Soil Food Web School Workshop” document on day one of the workshop.
  4. Look into whether they need a visa to travel from their home country and if their passport allows them to enter and stay in Mexico for the workshop.
  5. Have a Covid Test within 48 hours of their departure from their home nation or state. 

 

Cost and Payment Terms

As described in the foregoing recitals to this enrollment agreement, the above referenced student agrees to allow to be transferred to SFWS the payment previously paid to ERF, and such transferred payment constitutes payment in full for this Workshop hosted by SFWS. The above referenced student understands and acknowledges that by signing this Agreement, student forfeits any right to attend the Ecosystem Restoration In-person Training hosted by ERF in exchange for enrollment in the Workshop hosted by SFWS. 

 

 CANCELLATIONS AND REFUNDS 

Cancellation: You may cancel enrollment by giving written notice to Soil Food Web School before midnight Pacific Time on January 4, 2024. Our refund policy is as follows:

 

The School reserves the right to terminate a student’s participation for unsatisfactory progress, nonpayment of tuition, or failure to abide by established standards as defined in the School’s Code of Conduct. Although the school may provide placement assistance, the school does not guarantee job placement to graduates upon program completion or upon graduation.

If you have watched less than half the lectures (i.e., less than 16 hours) and are within 30 days of registration, you are entitled to:


A full refund.

After watching 16 hours or more of the lectures, or after 8 weeks from the date of commencement of the course:

No refund is available.

 

 

ASSUMPTION OF RISK

Certain workshop activities may be conducted on public and private property not owned by Soil Foodweb School LLC that may contain unsafe conditions, which may be natural or artificial, including but not limited to tripping and falling hazards or other dangerous topography or features and hazardous materials (including pathogens) and equipment.  BY ENTERING INTO THIS AGREEMENT AND ENROLLING IN THE WORKSHOP, YOU ACKNOWLEDGE AND AGREE (I) THAT YOU UNDERSTAND THE INHERENT RISKS ASSOCIATED WITH ATTENDING WORKSHOP SESSIONS ON SUCH PROPERTIES AND ASSUME COMPLETE RESPONSIBILITY AND LIABILITY FOR THOSE RISKS AND ANY INJURIES THAT MAY RESULT FROM SUCH RISKS, EVEN IF THE INJURIES OCCUR IN A MANNER NOT FORESEEABLE AT THE TIME YOU SIGN THIS AGREEMENT, (II) BY VOLUNTARILY ASSUMING THE RISKS INVOLVED, YOU WILL BE SOLELY RESPONSIBLE FOR ANY LOSS OR DAMAGE YOU SUSTAIN, INCLUDING PERSONAL INJURY TO YOU, DAMAGE TO YOUR PROPERTY, OR DAMAGE ARISING OUT OF YOUR DEATH, (III) TO WAIVE AND RELEASE AND AGREE TO HOLD HARMLESS SOIL FOODWEB SCHOOL LLC AND ITS MEMBERS, MANAGERS, CONTRACTORS, STAFF AND FACULTY (COLLECTIVELY, “RELEASED PARTIES”) FOR ANY LOSSES OR DAMAGES IN ANY WAY ARISING OUT OF THIS WORKSHOP AND ACTIVITIES OCCURRING DURING THE WORKSHOP PERIOD, AND (IV) THAT IN NO CASE SHALL THE RELEASED PARTIES BE LIABLE FOR ANY INJURIES CAUSED BY THE OWNER OF ANY PROPERTY ON WHICH WORKSHOP ACTIVITIES ARE CONDUCTED OR BY SUCH OWNER’S AGENTS, EMPLOYEES OR CONTRACTORS.

 

LIMITATION OF LIABILITIES

IN NO EVENT SHALL SOIL FOODWEB SCHOOL LLC’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, EXCEED THE TOTAL OF THE AMOUNTS PAID TO SCHOOL PURSUANT TO THIS AGREEMENT.

 

Choice of Law; Jurisdiction and Venue for Disputes; Arbitration

This agreement and matters arising out of or relating to this agreement shall be governed by and construed in accordance with the laws of the State of Oregon, without giving effect to any conflicts of law provisions thereof.  This agreement is deemed to be made in Oregon. EACH PARTY HERETO HEREBY WAIVES ITS RIGHT TO A TRIAL BY JURY WITH RESPECT TO ANY DISPUTE OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT and agrees that any dispute or claim that arises out of or that relates to this agreement, or to the interpretation or breach thereof, or to the existence, validity, or scope of this agreement or this arbitration provision, shall be resolved by arbitration in accordance with the then effective arbitration rules of (and by filing a claim with) Arbitration Service of Portland, Inc.  THE SEAT OR PLACE OF ARBITRATION SHALL BE PORTLAND, OREGON, AND EXCEPT AS REQUIRED BY LAW, NEITHER PARTY NOR THE ARBITRATOR MAY DISCLOSE THE EXISTENCE, CONTENT OR RESULTS OF ANY ARBITRATION WITHOUT THE WRITTEN CONSENT OF BOTH PARTIES, UNLESS TO PROTECT OR PURSUE A LEGAL RIGHT.  FINAL RESOLUTION OF ANY DISPUTE MAY INCLUDE ANY RELIEF THE ARBITRATOR DEEMS JUST AND EQUITABLE, IN ACCORDANCE WITH ANY LIMITATIONS OF LIABILITY SET FORTH HEREIN.  ANY AWARD OR RELIEF GRANTED BY THE ARBITRATOR SHALL BE FINAL AND BINDING ON THE PARTIES AND MAY BE ENFORCED BY ANY COURT OF COMPETENT JURISDICTION.  FOR ANY DISPUTE ARISING HEREUNDER OR RELATED HERETO THAT MAY BE BROUGHT IN COURT, EACH PARTY HEREBY IRREVOCABLY AND UNCONDITIONALLY: (A) CONSENTS AND SUBMITS TO THE EXCLUSIVE JURISDICTION OF THE STATE AND FEDERAL COURTS LOCATED IN PORTLAND, OREGON; AND (B) WAIVES ANY OBJECTION TO THAT CHOICE OF FORUM BASED ON VENUE OR TO THE EFFECT THAT THE FORUM IS NOT CONVENIENT.
